The Service and its original content, features, and functionality are and will remain the exclusive property of SiteSpecter and its licensors. The Service is protected by applicable copyright and other intellectual property laws of both the United States and foreign countries.
All content, design, graphics, compilation, and other matters related to the Service are protected under applicable copyright and other intellectual property rights. The "SiteSpecter" name, associated graphics, logos, and service names are proprietary to SiteSpecter. You may not use any of the SiteSpecter content, names, or logos for any commercial purpose without our prior written consent.
When you create an account with us, you must provide accurate, complete, and current information at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
SiteSpecter offers various subscription plans as described on our pricing page. By selecting a subscription plan, you agree to pay the specified fees according to the selected billing cycle. Fees are non-refundable except as required by law or as explicitly stated in these Terms.
Subscription fees are subject to change upon 30 days' notice. Such notice may be provided by email or by posting the changes on the Service. Continued use of the Service after such notice constitutes acceptance of the new fees.

IN NO CASE SHALL SITESPECTER'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO SITESPECTER IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).

The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

The parties agree to use best efforts to settle any dispute, claim, question, or disagreement directly through consultation and good faith negotiations, which shall be a precondition to either party initiating a lawsuit or arbitration.
If we cannot resolve the dispute through good-faith negotiations, you and SiteSpecter agree to resolve any claims, disputes, or controversies arising out of or relating to these Terms, the Privacy Policy, or the Service (collectively, "Claims") through final and binding arbitration, except as set forth below. This agreement to arbitrate is intended to be broadly interpreted. The Federal Arbitration Act governs the interpretation and enforcement of this agreement to arbitrate.
The arbitration will be conducted by a single neutral arbitrator in Corpus Christi, Texas. If the Claim is for $10,000 or less, the arbitration may be conducted solely on the basis of documents submitted to the arbitrator, by telephonic hearing, or by an in-person hearing as established by the arbitrator. If the Claim exceeds $10,000, the right to a hearing will be determined by the arbitration rules.
YOU AND SITESPECTER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and SiteSpecter agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.
You can choose to reject this agreement to arbitrate by emailing us at support@sitespecter.com with the subject line "Arbitration Opt-Out" within 30 days of accepting these Terms. Your rejection notice must include your name, address, and a clear statement that you want to opt out of arbitration.
Notwithstanding the foregoing, either party may bring an individual action in small claims court, provided that such court has jurisdiction over the claim.
These Terms shall be governed by the laws of the State of Texas without regard to conflict of law principles. The parties agree that any arbitration will take place in Corpus Christi, Texas, and that any lawsuit filed in court shall be filed only in the state or federal courts located in Nueces County, Texas, and each party hereby submits to the exclusive jurisdiction of those courts for purposes of any such proceeding.

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact support to delete your account.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page and updating the "Last Updated" date.
Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. Please review these Terms periodically for changes.
